Terms and conditions for using NestKeepr

Welcome to NestKeepr. These Terms of Service ("Terms") govern your access to and use of the NestKeepr platform, website, mobile applications, and related services (collectively, the "Services"). By accessing or using our Services, you agree to be bound by these Terms.
Please read these Terms carefully before using our Services. If you do not agree to these Terms, you may not use our Services.
1. Acceptance of Terms
By creating an account, accessing, or using NestKeepr, you agree to:

- Our Security page (for data protection practices)
- All applicable laws and regulations
You represent that you are at least 18 years old and have the legal capacity to enter into this agreement.
2. Description of Services
NestKeepr is a homeowner intelligence platform that provides:
- AI-powered document processing and data extraction
- Property value tracking and market insights
- Maintenance scheduling and reminders
- Document organization and storage
- SMS notifications and updates
- Connections to service providers
We reserve the right to modify, suspend, or discontinue any aspect of the Services at any time, with or without notice.
3. Account Registration and Security
Account Creation:
- You must provide accurate and complete information when creating an account
- You must verify property ownership as required
- You are responsible for maintaining the confidentiality of your account credentials
- You must notify us immediately of any unauthorized use of your account
Ownership Verification:
To claim a property and use certain features, you must verify that you are the legal owner or have authorization to manage the property. We may use public records, identity verification services, and other methods to confirm ownership.
4. User Obligations and Prohibited Conduct
You agree NOT to:
- Provide false or misleading information
- Claim ownership of property you do not own or have rights to
- Upload malicious code, viruses, or harmful content
- Attempt to gain unauthorized access to our systems or other users' accounts
- Use the Services for any illegal purpose
- Scrape, crawl, or reverse engineer our Services
- Interfere with or disrupt the integrity or performance of the Services
- Impersonate any person or entity
- Harass, abuse, or harm other users
5. Your Content and Data
Your Content:
You retain ownership of all documents, photos, and data you upload to NestKeepr ("Your Content"). By uploading Your Content, you grant us a license to use, process, store, and display it solely for the purpose of providing our Services.
Responsibility:
You are responsible for the accuracy and legality of Your Content. You represent that you have the right to upload all content and that it does not violate any third-party rights or applicable laws.
Data Processing:
We may use AI and machine learning to extract information from Your Content. We do not use Your Content to train AI models accessible by third parties or for purposes beyond providing our Services to you.
6. Intellectual Property Rights
The Services, including all software, designs, text, graphics, logos, and other content (excluding Your Content), are owned by NestKeepr and protected by copyright, trademark, and other intellectual property laws.
You may not copy, modify, distribute, sell, or create derivative works from our Services without our express written permission.
7. Third-Party Services and Links
Our Services may integrate with or link to third-party services (e.g., property data providers, SMS services, AI providers). We are not responsible for the content, privacy practices, or terms of third-party services.
When you engage with third-party service providers through our platform (e.g., contractors, agents), your interactions are governed by their own terms and policies.
GLBA Service Provider Disclosure:
In accordance with the Gramm-Leach-Bliley Act (GLBA), we disclose that we share certain nonpublic personal information (NPI) with the following categories of service providers to operate our platform:
- Cloud Infrastructure: Supabase (database, storage, authentication)
- AI Processing: Google Gemini (document extraction, property analysis)
- Property Data: ATTOM Data, Zillow (market values, ownership records)
- Communications: Telnyx (SMS), SendGrid (email)
- Payments: Stripe (payment processing)
- Identity Verification: Stripe Identity (ownership verification)
All service providers are contractually required to protect NPI and use it only as necessary to provide services to NestKeepr. We maintain appropriate safeguards in accordance with the FTC Safeguards Rule.
8. Fees and Payment
NestKeepr is currently free for homeowners. We reserve the right to introduce fees or premium features in the future. We will provide advance notice of any changes to our pricing model.
Professionals on our platform pay subscription fees for access to our technology tools and platform features. Homeowner connections are provided at no additional cost—professionals are displayed to homeowners in their service areas based on their history of business in that zip code and an engagement score that rewards platform participation, client additions, and community building. Professionals maintain complete independence in their client relationships. This does not affect the price you pay for any services.
RESPA Compliance Notice (Real Estate Settlement Procedures Act):
NestKeepr is committed to full compliance with Section 8 of the Real Estate Settlement Procedures Act (RESPA), which prohibits kickbacks, referral fees, and fee-splitting arrangements related to real estate settlement services.
Our Fee Structure: All fees paid by professionals to NestKeepr are for bona fide services rendered, including software platform access, technology tools, client relationship management features, and business analytics. These are flat-rate subscription fees paid regardless of whether any transaction occurs. Homeowner visibility is merit-based and provided at no additional cost.
No Referral Fees: NestKeepr does not charge, receive, or pay any fees contingent upon the closing of a real estate transaction. Professionals are not required to provide any referrals, leads, or business to NestKeepr as a condition of their subscription. There is no pay-per-lead or pay-per-transaction fee structure.
Professional Independence: All professionals on our platform maintain complete independence in their client relationships. Connection with a homeowner through our platform creates no obligation for either party. Professionals set their own rates, terms, and service offerings independent of NestKeepr.
8.1. Professional Users
If you register for a Professional account (Real Estate Agent, Mortgage Professional, or Insurance Professional), the following additional terms apply:
Licensing Requirements:
- Real Estate Agents: You must hold a valid, active real estate license issued by your state's real estate commission. You must provide your license number during registration and maintain active licensure throughout your use of the Services.
- Mortgage Professionals: You must hold a valid NMLS (Nationwide Multistate Licensing System) registration and any required state licenses. You must provide your NMLS ID during registration and maintain active registration throughout your use of the Services.
- Insurance Professionals: You must hold a valid insurance producer license in your operating state(s). You must maintain active licensure throughout your use of the Services.
License Verification:
We may verify your professional license at any time. If your license is suspended, revoked, or expires, you must immediately notify us and cease using Professional features. We reserve the right to suspend or terminate Professional accounts for license violations.
Professional Conduct:
You agree to comply with all applicable federal, state, and local laws, regulations, and professional standards governing your licensed profession, including but not limited to RESPA, TILA, Fair Housing Act, and state real estate commission rules.
8.2. Fair Housing and Non-Discrimination
NestKeepr is committed to equal opportunity and fair housing principles. All users, including Professional users, agree to:
- Comply with the Fair Housing Act, which prohibits discrimination in housing based on race, color, national origin, religion, sex, familial status, or disability
- Comply with the Equal Credit Opportunity Act (ECOA), which prohibits discrimination in credit transactions
- Not use our Services to discriminate against any person or class of persons
- Provide equal service to all clients regardless of protected characteristics
We prohibit any use of our platform that promotes, facilitates, or results in housing discrimination. Violations may result in immediate account termination and reporting to appropriate regulatory authorities.
8.3. Professional Client Management Tools
NestKeepr provides Professionals with client relationship management tools as part of the Services. Professionals may use NestKeepr to organize and manage records related to their past, current, and prospective clients.
Professional Business Records:
Documents uploaded by Professionals relating to their client relationships (including transaction documents, correspondence, and service records) are business records of the Professional. Professionals retain ownership of these records and may use NestKeepr to store, organize, and manage them as part of their ordinary business operations, regardless of whether the associated homeowner has activated a NestKeepr account.
Sharing Documents with Homeowners:
As a value-added service, Professionals may invite their past clients to access NestKeepr, where the Professional's relevant documents will be available within the homeowner's property portal. This sharing enables homeowners to benefit from organized access to their property documents without requiring manual collection.
When a Professional invites a homeowner to NestKeepr:
- The homeowner receives access to documents the Professional has designated for sharing (such as closing documents, loan disclosures, or insurance policies)
- The homeowner may accept or decline the invitation at their discretion
- If the homeowner does not activate their account within 90 days, the invitation expires and documents remain in the Professional's account only
- Once a homeowner activates their account, they gain full control over their property portal, including the ability to manage which Professionals can view their information going forward
Document Scope:
Professionals may only upload documents for which they have a legitimate business relationship with the property or homeowner. Professionals agree not to upload documents for properties or individuals with whom they have no professional relationship. Violations may result in account suspension or termination.
9. Disclaimers and Warranties
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.
We disclaim all warranties, including but not limited to:
- Accuracy of property valuations, market data, or extracted information
- Uninterrupted or error-free operation of the Services
- Fitness for a particular purpose
- Non-infringement of third-party rights
Property values and market data are estimates and should not be relied upon as the sole basis for financial decisions. Consult with qualified professionals (appraisers, agents, financial advisors) before making property-related decisions.
10. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, NESTKEEPR SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR USE.
Our total liability to you for any claims arising from your use of the Services shall not exceed $100 or the amount you paid us in the past 12 months, whichever is greater.
We are not liable for:
- Actions or omissions of third-party service providers
- Loss of or damage to Your Content (maintain backups)
- Inaccuracies in AI-extracted data or property valuations
- Decisions you make based on information provided through our Services
11. Indemnification
You agree to indemnify, defend, and hold harmless NestKeepr, its affiliates, officers, directors, employees, and agents from any claims, losses, damages, liabilities, costs, or expenses (including attorneys' fees) arising from:
- Your violation of these Terms
- Your violation of any third-party rights
- Your Content or use of the Services
- Your interactions with third-party service providers
12. Termination
By You:
You may terminate your account at any time by contacting us or using account settings. Upon termination, we will delete Your Content in accordance with our Privacy Policy, except where retention is required by law.
By Us:
We may suspend or terminate your account if you violate these Terms, engage in fraudulent activity, or for any other reason at our discretion. We will provide notice when reasonably possible.
13. Dispute Resolution and Arbitration
Informal Resolution:
Before filing a claim, you agree to contact us at legal@nestkeepr.com to attempt to resolve the dispute informally.
Binding Arbitration:
If we cannot resolve the dispute informally, you agree that any dispute arising from these Terms or your use of the Services will be resolved through binding arbitration in accordance with the American Arbitration Association's rules, rather than in court.
Class Action Waiver:
You agree to resolve disputes on an individual basis only. You waive any right to participate in a class action lawsuit or class-wide arbitration.
14. Governing Law
These Terms are governed by the laws of the State of Wyoming, without regard to its conflict of law provisions. Any disputes not subject to arbitration shall be brought in the courts located in Sheridan County, Wyoming.
15. Changes to These Terms
We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms on our website and updating the "Last Updated" date.
Your continued use of the Services after changes become effective constitutes acceptance of the updated Terms. If you do not agree to the new Terms, you must stop using the Services.
16. Miscellaneous
Entire Agreement: These Terms, along with our Privacy Policy, constitute the entire agreement between you and NestKeepr.
Severability: If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will remain in full force and effect.
Waiver: Our failure to enforce any right or provision of these Terms does not constitute a waiver of that right or provision.
Assignment: You may not assign or transfer these Terms without our written consent. We may assign these Terms at any time.
